Comprehensive Terms, Conditions & Legal Disclaimers governing the purchase, activation, and commercial use of Precision Trade Manager for both MetaTrader 4 (MT4) and MetaTrader 5 (MT5).

1. General Terms & Conditions

1.1 Introduction and Acceptance

These are the official Precision Trade Manager Terms and Conditions for MT4 and MT5. Welcome to Precision Trade Manager (“Software”, “Tool”, “We”, or “Company”). By purchasing, downloading, installing, activating, or using any Expert Advisors (EAs), indicators, scripts, or digital services related to MetaTrader 4 (MT4) or MetaTrader 5 (MT5), you (“User”, “Customer”, or “Licensee”) explicitly agree to comply with and be bound by these comprehensive Precision Trade Manager Terms and Conditions. If you disagree with any part of these terms, you must immediately cease use of the software and remove all files from your systems.

This agreement constitutes a binding legal contract between you and the developers of Precision Trade Manager. We reserve the right to modify, update, or revise these terms at any time without prior individual notice.

1.2 Nature of the Software

Precision Trade Manager is an advanced risk management and trade execution utility designed exclusively to run within the MetaTrader 4 and MetaTrader 5 terminal environments. The software handles volume calculations, order scaling, and position monitoring based entirely on parameters configured by the user. This software is strictly NOT a signal provider, account management service, financial advisory tool, or a guaranteed profit generator.

1.3 Eligibility

Users must be at least 18 years of age and possess full legal capacity to enter into binding agreements. All information provided during the purchase and license activation process must be accurate, current, and complete.

2. Risk Disclaimer & No Investment Advice

2.1 Absolute Prohibition of Investment Advice

CRITICAL NOTICE: Precision Trade Manager does not provide investment, financial, legal, or tax advice. The software is an automated and manual technical tool designed purely for execution and risk management assistance. Under no circumstances should any feature, output, dashboard calculation, or default parameter of the software be interpreted as a solicitation, recommendation, or endorsement to buy, sell, or hold any financial instrument, currency pair, gold (XAUUSD), cryptocurrency, or derivative contract.

2.2 High Risk Warning

Trading in financial markets—including Forex, CFDs, Gold (XAUUSD), Cryptocurrencies, Futures, and other leveraged instruments—carries an extremely high level of risk and is entirely unsuited for many investors. The high degree of leverage available in retail and institutional trading can work against you as well as for you, potentially leading to the rapid, total loss of your entire invested capital and any additional margin deposited.

2.3 Past Performance

Past performance, backtesting results, historical simulations, strategy tester reports, and user testimonials featured on our website or marketing channels are in no way indicative of future results. Market conditions continuously fluctuate due to unpredictable macroeconomic shifts, geopolitical events, central bank interventions, and liquidity crises.

2.4 User Responsibilities

By utilizing Precision Trade Manager, users explicitly acknowledge and agree that:

  • They possess full comprehension of financial market mechanics, margin requirements, and leverage risks.
  • They bear 100% personal responsibility for all orders placed, managed, modified, or closed via the software.
  • They are strongly advised to thoroughly test all configurations, parameters, and risk settings on a demo (simulated) account prior to deploying them on live accounts with real funds.
  • Live market conditions frequently introduce slippage, requotes, execution delays, wider spreads, broker disconnects, and unexpected financial losses that lie completely outside the software’s control.
  • Independent Order Verification: After any order is placed with the assistance of the software, the user is solely responsible for independently verifying the actual Stop Loss, Take Profit, volume, and monetary risk of that order directly within the native MetaTrader terminal itself — for example, by hovering over or inspecting the live order line and its displayed dollar-risk value on the chart — rather than relying exclusively on any dashboard, calculation, or display generated by the software. Blindly delegating full trust to the software without this independent verification constitutes user error and a failure of the user’s own risk-management duty, not a defect of the software.
  • Independent Verification of All Automated Actions: The software is a convenience tool that assists the user in performing actions such as, without limitation, setting a break-even level (whether via an automatic break-even line or a manual “Instant Break-Even” button), applying a trailing stop, or executing any other risk-management action. After triggering or relying on any such action, the user is solely responsible for personally checking, within the MetaTrader terminal, whether the software has in fact successfully carried out that action. Internet connectivity interruptions, VPS or broker server outages, terminal disconnections, or other factors entirely outside the software’s control may prevent an intended action from being executed even when requested. Because it is the user’s own capital at risk, the user assumes full responsibility for monitoring and confirming the outcome of every action taken with the assistance of the software, and the Company shall not be liable for any loss arising from an automated action that was requested but not completed for any reason, including connectivity or server failure.
  • Continuous Per-Trade Monitoring Duty: For every single trade placed with the assistance of the software, both before and after execution, the user is solely and personally responsible for actively monitoring the software’s performance and behavior on that specific trade — including, without limitation, setting their own independent alarms or notifications, and directly observing within the MetaTrader terminal whether the software is functioning correctly and performing its intended task. This monitoring duty is continuous and applies for the entire lifetime of every open position, not merely at the moment the trade is opened. If, at any point, the user observes or has reason to believe that the software has failed to perform as intended on any trade, the user is solely responsible for immediately taking manual control of that trade and any associated risk — including, without limitation, manually adjusting or removing Stop Loss and Take Profit levels, manually closing the position, or taking any other action necessary to control, minimize, or eliminate (reduce to zero) the resulting risk. Full responsibility for every trade, at every stage, before, during, and after execution, rests exclusively with the user, and the Company shall bear no liability whatsoever for any loss arising from the user’s failure to monitor, detect, or respond to any malfunction or unexpected behavior of the software.

3. Privacy Policy, Data Retention & Data Deletion (GDPR Compliant)

3.1 Privacy Commitment

We respect your privacy and are committed to protecting your personal data in strict compliance with the General Data Protection Regulation (GDPR) of the European Union and international privacy standards.

3.2 Collected Information & Automatic License Verification

To process purchases, activate MetaTrader 4 and MetaTrader 5 licenses, deliver technical support, and ensure security, we collect the following data:

  • Identity & Contact Data: Name, email address, billing details, and crypto transaction hashes.
  • Technical & License Data: MetaTrader account numbers (hashed for maximum security), hardware IDs, and IP addresses.
We NEVER have access to your broker account passwords, private funds, or live trading capital. Furthermore, the software incorporates an Automatic License Verification mechanism that may periodically connect to our secure activation servers to validate license status, expiration dates, and authorized account(s). If verification fails or a license is revoked, the software functionality will automatically cease.

3.3 Data Retention & Data Deletion

We retain user personal data and transaction logs only for as long as necessary to fulfill the purposes outlined in this agreement, comply with legal obligations, resolve disputes, and enforce our agreements. Customers have the right to request complete erasure of their personal information and license logs from our active databases by submitting a formal written request to our support desk, noting that data deletion will permanently terminate access to future software updates and license reactivations.

4. Refund Policy

4.1 Nature of Digital Goods

Precision Trade Manager is a digitally distributed software product (compiled .ex4 and .ex5 files for MetaTrader 4 and MetaTrader 5). Once a license key is issued and activated, the digital product is deemed fully delivered and consumed. Due to the intellectual property nature of our software, our strict policy is NO REFUNDS after license activation.

4.2 Finality of Sales

Because digital source files, compiled binaries, and cryptographic licenses cannot be physically returned or revoked without leaving residual access, all sales are final, and no refunds or chargebacks will be granted once the license key is delivered and activated.

5. End User License Agreement (EULA) & License Termination

5.1 Grant of License

Subject to full compliance with these terms, Precision Trade Manager grants you a limited, non-exclusive, non-transferable, revocable license to install and execute the software on MetaTrader 4 or MetaTrader 5 terminals linked to your authorized license key and account number, as further defined in Section 5.2 below.

5.2 License Duration & Single Active Account Rule

Each license key is bound to one (1) active MetaTrader account number at any given time — whether that account is a live account or a demo account. The license does not permit two or more accounts (live, demo, or a combination of both) to run simultaneously under the same license key. This single-active-account rule applies uniformly to all license durations described below.

  • 1-Year License: One (1) active account at a time (live or demo) for either MT4 or MT5. Valid for twelve (12) months from the date of activation. Non-transferable; strictly for individual use.
  • 5-Year License: One (1) active account at a time (live or demo) for either MT4 or MT5. Valid for five (5) years from the date of activation. Non-transferable; strictly for individual use.
  • 30-Year License: One (1) active account at a time (live or demo) for either MT4 or MT5. Valid for thirty (30) years from the date of activation, subject to Section 5.5 (Service Discontinuation & Perpetual Offline License). Non-transferable; strictly for individual use.

5.3 Account Switching Procedure

Users may change the MetaTrader account number bound to their license, subject to a strict limit of one (1) account change per twelve (12) hour period. Any attempt to change the bound account number more than once within a rolling twelve (12) hour window will be rejected by the system.

Important: At any given moment, the license is active and functional only on the most recently entered and verified account number. As soon as a new account number is submitted and verified (subject to the twelve (12) hour limit above), the software will automatically cease functioning on the previous account number, and full functionality will transfer exclusively to the newly entered account. Only one account — the last one verified — can be active under the license at any point in time.

Users are solely responsible for ensuring the correct account number is entered before relying on the software for live trading activity. Precision Trade Manager is not liable for any loss, missed trade, or unmanaged position resulting from the software being inactive on an account due to a pending account switch or the twelve (12) hour switching restriction described above.

5.4 Strict License Termination Conditions

Your license to use the software will terminate automatically and immediately without notice if you fail to comply with any provision of this EULA. Specifically, license termination will be enforced immediately if:

  • Any attempt is made to reverse engineer, decompile, disassemble, or crack the compiled .ex4 or .ex5 binaries.
  • The software, license key, or account credentials are unauthorizedly shared, resold, rented, or distributed across public or private websites, Telegram channels, Discord servers, or torrent networks.
  • The user tampers with or bypasses the Automatic License Verification, the single-active-account restriction described in Section 5.2, or internal expiration routines.

Upon termination, you must immediately destroy all copies of the software in your possession.

5.5 Service Discontinuation & Perpetual Offline License

In the event that the Company makes a definitive decision to permanently cease all business operations and to decommission the servers and infrastructure supporting the Automatic License Verification mechanism described in Section 3.2, such that online license validation is no longer available to any user, the Company shall, on a best-efforts basis, undertake the following:

  • Provide notice, no less than thirty (30) days prior to the final shutdown of the license verification servers, to the email address the user registered at the time of purchase.
  • Issue a final, standalone build of the software that does not require ongoing connectivity to or verification by the Company’s servers, permanently and exclusively bound to the single MetaTrader account number associated with the user’s license at the time of shutdown, for that user’s continued personal use.
Scope & Limitations: This final standalone build is provided strictly on an “as-is” basis, reflecting the most recent version of the software available at the time of shutdown, and is not accompanied by any further updates, bug fixes, or technical support. It is licensed solely for use on the single account number to which it is issued and may not be transferred, resold, or reactivated on any other account. Responsibility for maintaining a current and accessible registered email address rests entirely with the user; the Company bears no liability for failure to deliver this final build where the registered contact information is inaccurate or outdated. Nothing in this Section 5.5 shall be construed as extending, reviving, or creating any obligation of the Company to provide updates, support, or any other service beyond the delivery of this single final standalone build, nor as a guarantee that Company officers, successors, heirs, or assigns bear any perpetual or ongoing duty of performance beyond what is expressly stated here.

5.6 Offline Grace Period

The software incorporates a built-in Offline Grace Period designed to protect users against temporary interruptions in connectivity to the Company’s Automatic License Verification servers described in Section 3.2. In the event that the software is unable to connect to and successfully verify the license with the Company’s servers — whether due to an internet outage, VPS disruption, temporary server downtime, or any other connectivity interruption — the software will continue to operate at full functionality, without restriction, for a continuous period of up to two (2) months from the last successful verification.

Important: This Offline Grace Period is a convenience feature intended to prevent unnecessary interruption of active trade management during short-term connectivity issues. It is not a guarantee of indefinite offline use. Should the connectivity interruption persist beyond two (2) months without a successful re-verification, the software will automatically cease functioning until the license is successfully re-verified. Users are solely responsible for restoring connectivity within this period, and the Company shall bear no liability for any loss, missed trade, or unmanaged position resulting from the software becoming inactive after expiration of the Offline Grace Period. This Section 5.6 is independent from, and shall not be construed as extending or altering, the terms governing permanent service discontinuation described in Section 5.5.

6. Acceptable Use Policy

You agree to use the software solely for lawful commercial and personal risk management objectives, and in a manner consistent with the single-active-account licensing model described in Section 5.2. Any unauthorized tampering, hacking, circumvention of the account-binding mechanism, or distribution violates federal and international intellectual property laws and will result in immediate license termination and aggressive legal prosecution.

7. Cryptocurrency Payment & Tax Responsibility

7.1 Cryptocurrency Transactions

We currently accept payment in Bitcoin (BTC), Litecoin (LTC), and Tether (USDT). For USDT, we accept payments exclusively via the TRC20 (TRON) network; we do not accept USDT sent via the ERC20 (Ethereum) network. If you wish to pay using a different cryptocurrency not listed above, please contact our support team by email, and we will arrange payment on a case-by-case basis. Because blockchain transactions are irreversible, users are solely responsible for sending exact amounts, using the correct network for the selected cryptocurrency, and covering the correct network fees. Underpaid transactions, or transactions sent on an unsupported network, will remain pending or unrecoverable until resolved directly with support.

7.2 Tax Responsibility

You are solely responsible for determining, paying, reporting, filing, and remitting all applicable local, state, federal, or international taxes, duties, Value Added Tax (VAT), or goods and services taxes (GST) associated with your purchase and use of the software.

8. Limitation of Liability, Indemnification & Force Majeure

8.1 Strict Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Precision Trade Manager, its developers, officers, employees, or affiliates be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, trading capital, goodwill, data, or other intangible losses arising out of or relating to the use or inability to use the software. This limitation applies regardless of the cause, including any error, bug, malfunction, or unexpected behavior in any specific feature or module of the software (including, without limitation, break-even functions, trailing stop mechanisms, volume calculations, or any other automated component), any failure of an automated action to complete due to connectivity or server issues as described in Section 2.4, and regardless of whether the user independently verified the resulting order parameters or the outcome of any automated action within the MetaTrader terminal as required under Section 2.4. Any failure by the user to independently verify actual Stop Loss, Take Profit, volume, monetary risk, or the successful completion of any automated action directly within the native MetaTrader terminal, or to comply with the Continuous Per-Trade Monitoring Duty described in Section 2.4 — including promptly taking manual control of a trade and minimizing or eliminating the resulting risk once a malfunction is observed or suspected — shall be treated as contributory negligence on the part of the user and shall further reduce or eliminate any liability of the Company. In any and all circumstances, the entire aggregate liability of Precision Trade Manager and its creators to you for all claims arising from or related to the software shall be strictly limited to the total monetary amount actually paid by you to us for the software license in the preceding six months.

8.2 Indemnification

You agree to defend, indemnify, and hold harmless Precision Trade Manager, its developers, affiliates, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, debt, and expenses (including attorney’s fees) arising from: (a) your use of and access to the software; (b) your violation of any term of these conditions; (c) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (d) any legal action or regulatory inquiry resulting from your financial trading activities.

8.3 Force Majeure

We shall not be held liable for any failure, delay, or disruption in performance resulting directly or indirectly from acts of God, natural disasters, epidemics, pandemic restrictions, power failures, Internet disruptions, telecommunication grid failures, cyberattacks, distributed denial-of-service (DDoS) attacks, governmental restrictions, trade sanctions, embargos, civil unrest, war, terrorism, or any other causes beyond our reasonable control.

9. Software Updates & Maintenance (No Obligation)

Precision Trade Manager is provided on an “as-is” and “as-available” basis with respect to its current, delivered functionality at the time of purchase. The Company retains sole and absolute discretion over whether, when, and how often to release bug fixes, patches, improvements, new features, or new versions of the software (“Updates”).

No Contractual Obligation to Update: Nothing in this agreement, on our website, in marketing materials, or in prior communications shall be construed as a promise, guarantee, or contractual obligation to provide any Update, at any time, for any license tier. The Company may, at its sole discretion and without prior notice, release Updates, modify the software’s features, or choose not to release any further Updates at all, without this constituting a breach of this agreement, a defect in the delivered product, or grounds for a refund, discount, or claim of any kind.

Where Updates are made available, they are typically distributed at the Company’s discretion via the customer’s member/license panel, direct notification, or the software’s built-in license-verification mechanism described in Section 3.2. Access to any future Update, if and when released, may itself be subject to an active and valid license as described in Section 5. The Company reserves the right to discontinue support, maintenance, or the availability of any version of the software at any time.

10. Export Control, Sanctions & Class Action Waiver

10.1 Export Control & Sanctions

The software and related technology are subject to international export control and economic sanctions laws. You represent and warrant that you are not located in, under the control of, or a national or resident of any embargoed country or territory, and that you are not named on any denied party or blocked persons list maintained by major international regulatory bodies. Any sale or activation attempted in violation of these trade restrictions is strictly void.

10.2 Class Action Waiver

You agree that any arbitration or legal proceeding shall be limited to the dispute between us and you individually. To the full extent permitted by law, (a) no arbitration or proceeding shall be joined with any other; (b) there is no right or authority for any dispute to be arbitrated or resolved on a class-action basis or to utilize class action procedures; and (c) there is no right or authority for any dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

11. Dispute Resolution, Arbitration & Governing Law

11.1 Governing Law

These terms and conditions, and any dispute or claim arising out of or connected with them, shall be governed by and construed in accordance with the laws of international digital commerce and applicable arbitration jurisdictions, without giving effect to any choice of law principles.

11.2 Mandatory Arbitration

Any dispute, controversy, or claim arising out of or relating to this contract, including its formation, interpretation, breach, or termination, shall be settled exclusively by binding confidential arbitration administered by an independent commercial arbitration center, rather than in court. The place of arbitration shall be conducted remotely or within a designated neutral international arbitration venue.

12. Miscellaneous: Severability & Entire Agreement

12.1 Severability

If any provision of these terms is found to be invalid, illegal, or unenforceable by an arbitrator or court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions of these terms shall remain in full force and effect.

12.2 Entire Agreement

These comprehensive Precision Trade Manager Terms and Conditions constitute the entire and exclusive agreement between you and Precision Trade Manager concerning the software, superseding and replacing any prior agreements, proposals, communications, or understandings, whether oral or written.

By purchasing, downloading, installing, or activating Precision Trade Manager for MetaTrader 4 or MetaTrader 5, you explicitly confirm that you have thoroughly read, understood, and agreed to all sections of this binding legal agreement.
